Exterran Legal Counsel Compliance in Houston, Texas

Position Summary: This position will be responsible for mitigating risks and helping to protect the reputation of the company's global business with respect to compliance matters, while also serving as the cornerstone of compliance in both Hemispheres. The position will support the business in all compliance matters, both in terms of prevention and in response to specific business situations.

Key Responsibilities:

o Draft, monitor and implement company compliance policies

o Provide (ad-hoc) legal advice and guidance on compliance matters, including trade control, to management and business representatives

o Liaise, interact and cooperate closely with other regional business managers in entering into contracts with and screening of agents and freight forwarders

o Organize periodic training and reporting within the regions (live and online)

o Conduct training of business staff on compliance topics and enhance general awareness of compliance issues within the business

o Co-operate closely with Internal Audit and outside advisors, when appropriate, in conducting audits and investigations

o Support the CCO in carrying out global projects

o Oversight of and direct involvement in company’s FCPA due diligence program for third party service providers

o Significant drafting and review of contracts related to compliance and trade control

o Perform internal investigations as needed

o Maintain and administer the agent due diligence and monitoring system, including the physical maintenance of the files

o Monitor and respond to helpline calls, and manage the helpline program

o Administer and support live and online training

o Perform risk assessments in foreign locations

o Perform agent reviews in foreign locations

o Assist in reporting to audit committee

o Assist in maintenance, enforcement and monitoring of policies and code of conduct

o Assist in agent contract negotiations and agent agreements

o Review customer contracts for compliance and trade control issues

o Assist in enforcement of sanctions requirements

o Assist in implementing our Compliance Diplomacy Program

o Assist in our Conflict Minerals Program

o Assist in responding to miscellaneous compliance matters as needed

o Assist in implementation and handling of supplier due diligence program

Basic Qualifications:

o Must have at least 4-5 years of compliance experience

o Must have Law Degree from Accredited Law School

o Must be able to travel internationally up to 1-2 times per quarter
